Introduction
These terms of business (“TOB”) applies to the services contracted for between Tributum Consulting (Pty) Ltd (“Tributum”, “us”, “we”) and XYZ Company (“XYZ”, “you”) in terms of the Premium consulting link, and will apply to all the persons covered by that service.
Delivery of service
These TOB applies to the services to be delivered under the engagement letter that includes the following:
The response to your query will be emailed to you.
We will not accept any liability to any person for any losses they may suffer as a result of any reliance on the deliverable.
During the services we may develop electronic or other tools. Any such tools provided to you remain our property and is not to be shared or used by you.
Changes to services or the scope thereof will be communicated in writing. Unless such communication takes place no changes to the services will be able to be enforced by either us or you.
We will not take any management responsibility or perform any management function in relation to the services. You remain solely liable to the South African Revenue Service in respect of your tax and business affairs. You will remain responsible for evaluating our services and deciding which course of action to take.
Liability
We do not accept any liability to anyone, other than you, in connection with our services.
Our services will be based on information provided to us by you, or any person designated by you, which on receipt will be regarded as accurate and complete. We will not independently verify any of the information and we accept no responsibility for services rendered that has been based on incorrect or incomplete information received.
Our services will be based on legislation in place at the time and covering the period of the service. We take no responsibility and will incur no liability in respect of services rendered where after the legislation was changed so as to render the services previously delivered unreliable.
You agree to indemnify us for any liability (including legal costs) that we may incur in connection with any claim by any third party in relation to the services.
Regardless of any previous comment in the TOB our liability to you will be capped at twice the fee charged for the services rendered.
Fees
The fee will be charged as indicated on the website.
If further work is required following our response, this will be contracted for under a separate contract that will provide the scope and fees.
Confidentiality
We and you agree to keep information about each other that may be learned during the period of services confidential in all respects. Only when required by law may such information be disclosed, and then only after the other party has been informed of the requirement by law.
While the information regarding each other is confidential you agree that we may refer to you as a client and the nature of the services performed when marketing our services to others. Similarly you may list us as service provider to you.
You agree that we may perform services similar to those provided to you to other clients, including competitors or other parties who may be in conflict with you. We will not disclose any information about you and we will comply with our contractual and ethical obligations in that regard.
